تاسيس شركت سهامي عام

براي تاسيس شركت سهامي عام موسسين در ابتدای امر باید حداقل ٢٠% سرمايه را شخصا تعهد و لااقل ٣٥% از مبلغ تعهدي را در حسابي بنام شركت در شرف تاسيس نزديكي از بانكها سپرده سپس اظهارنامه اي به ضميمه طرح اساسنامه شركت و طرح اعلاميه پذيره نويسي سهام كه به امضاي كليه موسسين رسيده باشد به اداره ثبت شركتها تسليم ورسيد دريافت دارند.

چنانچه بخشی از تعهد موسسين به صورت غير نقد باشد بايد عين آن يا مدارك مالكيت آن را در همان بانكي كه براي پرداخت مبلغ نقدي حساب باز شده توديع و گواهي بانك را به ضميمه اظهارنام و مدارك فوق الذكر به اداره ثبت شركتها تسليم دارند.

ارائه مجوز يا موافقت اصولي يا مجوز از مراجع ذيصلاح در صورت نياز

افراد برای اینکه در تأسیس شرکت سهامی عام مشارکت و بخشی از سهام آن را پذیره ‌نویسی کنند، باید اطلاعاتی در مورد شرکت داشته باشند. این اطلاعات در قالب اظهارنامه در تهران به اداره ثبت شرکت‌ها و در شهرستان‌ها به دایره ثبت شرکت‌ها ارائه می‎شود.

مرجع ثبت شرکت‌ها نیز پس از مطالعه اظهارنامه و ضمایم آن و تایید قانونی بودن مندرجات آنها، اجازه انتشار اعلامیه پذیره‎نویسی را صادر می‎کند.

نکاتی که برای ثبت و تاسیس شرکت باید رعایت شود :

حداقل سرمایه مبلغ پنج میلیون ریال است.

حداقل بیست درصد سرمایه تعیین شده توسط اعضای شرکت تعهد شود و سی پنج درصد از میزان تعهد شده پرداخت شود.

اظهارنامه و اساسنامه و اعلامیه پذیره نویسی باید به امضای اعضای شرکت رسیده شود.

اخذ و ارائه جواز از مراجع ذیصلاح در صورتی که نیاز باشد.
